License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App for your personal and internal business purposes.

Account Registration

To access and use the App, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and agree not to disclose it to any third party. You are responsible for any activities or actions under your account, whether or not you have authorized such activities or actions.

Restrictions on Use

You agree not to:

• Use the App for any illegal or unauthorized purpose
• Interfere with or disrupt the App or servers or networks connected to the App
• Attempt to gain unauthorized access to the App or any associated systems or networks
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the App without our express written permission
• Reverse-engineer, decompile, or disassemble the App, or attempt to discover or recreate the underlying source code

Intellectual Property

The App and its content, features, and functionality are owned by Zingle and are protected by copyright, trademark, and other intellectual property rights. You acknowledge and agree that any feedback, comments, or suggestions you provide regarding the App will be our sole and exclusive property, and you hereby irrevocably assign all rights, title, and interest in such feedback, comments, or suggestions to us.

Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the App will immediately cease. All provisions of the Terms that, by their nature, should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The App is provided on an "as is" basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, that defects will be corrected, or that the App will be available at all times.

Limitation of Liability

In no event shall Zingle, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.
